Prepare the filing

Start by writing down who will own the business, what it will do, and where it will operate. Then review SDAT’s current Articles of Organization instructions. A Maryland LLC name must include an accepted LLC designation and be distinguishable from active businesses in SDAT’s records. The filing requires a Maryland principal office address, a resident agent’s name and Maryland physical address, and the agent’s consent. The resident agent receives legal papers for the company. Confirm these details before submitting the application.

File and organize your records

Use Maryland Business Express or follow SDAT’s current paper-filing instructions. Check the live filing options and charges before choosing a service level. After approval, save the accepted documents, SDAT identification number, and confirmation messages in one business folder. Discuss an operating agreement with an attorney, especially when multiple owners contribute money or work. Use that conversation to clarify ownership, authority to sign contracts, distributions, and what happens if someone leaves. Build an operating checklist

Review federal tax identification, Maryland tax accounts, state and local permits, and insurance before taking customers. Record which agency owns each task and when it must be completed. If you plan to hire, also review the applicable employer requirements with your adviser. Create a calendar for annual reports and future renewals. As of October 7, 2026, FinCEN exempts U.S.-created companies from beneficial ownership information reporting under its current rule. A company formed under another country’s laws may have different obligations. Check current official guidance when your business circumstances change.
